Definition of our terminology as used within this document:

‘Website maintenance’ refers to on-going changes to a site once it is published on the Internet. As things change in your organisation, your website must be updated to reflect the changes. Website maintenance can be provided by mwoo designs, an hourly rate or contract fee should be discussed and agreed on.

‘Customer/Client’ - a person, persons, business or organisation using any of the services provided by WebCreation UK Ltd.

’Domain’ is the website address as specified by the Client.

’Hosting’ - Your website consists of a number of files which must be stored on a computer (file server) connected to the Internet. Hosting is a service whereby you "rent" space on a file server owned by a hosting company. It is their responsibility (not mwoo designs) to ensure your website is accessible world-wide, 24 hours a day. Fees are usually paid monthly or yearly, and vary depending on the size of your website and how it is built. mwoo designs do not choose your hosting company based on price alone. Future hosting requirements, support provided, and provision of useful web statistics are considered.

‘Initial alterations’ refer to any amendments that mwoo designs deem fit. These alterations should not defer away from the original brief. mwoo designs reserves the right to request further payment for any additional services.

‘Regular updates’ are additions/modifications to the website once it has been published

‘Vector images’ - A technique for representing a picture based on the specific mathematics of lines and other geometric entities designated by its end points or coordinates, thus creating high quality images that retain their quality when re-sized.

‘Compatible’ (where mentioned) refers to the accessibility of the website produced by multiple browsers i.e. that it works on Internet Explorer 7, Mozilla Firefox 3, Safari 3, Chrome BETA and Opera 9.

’Open Source Software’ is software made freely available to anyone under the GNU General Public License (GPL).

mwoo designs Terms and Conditions

The contract between mwoo designs and the Client will be on these conditions, to the exclusion of all other terms and conditions.

1. mwoo designs shall expect the Client to carry out sufficient research before proceeding with a website. This will include checking that the website/idea/business will operate legally. It is important that the website is not in any way illegal.
2. This Agreement assumes that all text is provided by the Client in electronic format (.txt on CD/DVD, e-mail or ftp retrievable), all photographs and other graphics are provided in high quality print suitable for scanning or in a .gif, .jpeg, .bmp, .tif, .psd, .eps, .ai or editable fla format. Additional expenses may be incurred and will be invoiced accordingly for corrective work, conversion of media and outside facility charges.
3. Web Hosting and Domain names are provided by external providers. mwoo designs will research the best prices for both hosing and the domain name but take no responsibility for ensuring that the cost of these services are the lowest available. mwoo designs do not choose your hosting company based on price alone. Future hosting requirements, support provided, and provision of useful web statistics are considered.
4. A domain name will be registered by mwoo designs on behalf of the client once we have received full payment of the domain name.
5. Web Hosting will be purchased by mwoo designs on behalf of the client once we have received full payment of the hosting fees. In doing so, mwoo designs do not guarantee that the website Hosting will be available at all times, especially in the event of a technical failure beyond our control.
6. Domain names and web hosting will be registered by mwoo designs but to the Client’s current address. The Client is the legal owner of the domain and web hosting, if they request to have details changed or the domain transferred elsewhere, then the Client is responsible for contacting the service providers and making them aware of this.
7. It is the responsibility of the Client to renew their domain names and web hosting when due. If a domain name or web hosting expires, mwoo designs can not be held liable for this.
8. Renewal of Hosting is due on a yearly basis. The date of renewal will be annually from the date the website was submitted by mwoo designs.
9. Where asked to provide search engine optimisation for a Client, mwoo designs do not guarantee any specific placement or high ranking on search engines.
10. mwoo designs will provide the Client with an expected completion date for the Project (live on the internet) if requested. mwoo designs will endeavour to meet any given deadline, but do not guarantee and are not bound in any way to complete the Project by this date. The expected completion date provided by mwoo designs is purely an estimate.
11. mwoo designs own all design and code of the website until final payment has been received in full. Once final payment is received, the Client will then own the design and code of the website, unless Open Source Software is used.
12. mwoo designs are not liable for loss, damage or corruption to files or information stored on its servers or individual PCs relating to a Client's website. The Client is solely responsible for any information or files relating to its website.
13. All designing/hosting/maintenance fees are/shall be payable 28 days after completion (unless otherwise agreed).
14. Cancellation of orders for authoring or placement may, in the first instance, be made by telephone, but must be confirmed in writing by e-mail or letter. The Client will be invoiced for authoring work completed to the date of first notice of cancellation for payment in full within 28 days. The full invoiced amount of the order must be paid if the cancellation is not received in writing within 10 working days.
15. In order to redesign a website mwoo designs must be granted read/write access to the Client's storage directories; those directories must be accessible via FTP. Depending on the project, other resources might have to be configured on the server end (for scripts, imagemaps, etc.).
16. The placement of an order or contract for the authoring or placement of pages with mwoo designs will be regarded as an acceptance of all the above terms and conditions. Orders may be placed, in the first instance, by telephone or e-mail and must be confirmed in writing by e-mail or by letter.
